Changes, conversions and inactivity
1–4 of 4 practice notes
78. Conversion between company types
Conversion changes the registered company type without creating an entirely new legal entity, but requires the correct approval, constitution and filing package.
Subject: Changes, conversions and inactivity
Act references: s. 26; s. 27; s. 28; s. 29; s. 30; s. 31; s. 32
Key point: Each permitted conversion route has its own statutory section and preconditions.
79. Corporate change and filing map
Different changes have different internal effective dates, documents, filing periods and offence consequences; one generic 'update profile' workflow is unsafe.

Act references: s. 36; s. 50; s. 70; s. 79; s. 125; s. 145; s. 154; s. 168; s. 174; s. 178
Key point: Constitution, directors, capital, shares, charges, SBOs, addresses, names and foreign-company information each have their own rule.
80. Inactive company designation and cure
Section 208 requires the Registrar to determine and register inactive status when its specified conditions are met, and to remove that status following the required cure and submission.
Subject: Changes, conversions and inactivity
Act references: s. 36; s. 122; s. 207; s. 208
Key point: The Registrar shall determine and register inactivity where the company has lacked the required number of directors for three months.

The useful calendar is event-driven as well as annual: each corporate act should create its own approval, register, filing and evidence tasks.
