A hotel management agreement can outlive the investment strategy that produced it. Sale and financing flexibility should therefore be negotiated when the HMA is signed—not when a buyer or lender is already in the room.
Sale & refinancing
Understand the long-term commitment
A Maldives HMA market survey last modified in 2021 described fixed management terms of 15–25 years, with termination for breach, underperformance or loss of underlying land-lease rights negotiated in the agreement. It also recorded operator approval rights over changes in hotel ownership, operator consent or continuation of the HMA on a sale, and potential claims for lost management fees on early termination. These are market positions, not automatic statutory rules, which is precisely why drafting matters.
Make the exit provisions work
For an owner, the transfer clause should define permitted transferees, competitor restrictions, financial-standing tests, change-of-control triggers, consent standards and the mechanics for assigning the HMA to a purchaser. The termination regime should address sale, sustained underperformance, brand loss, land-lease failure and the calculation of any termination payment. If refinancing is foreseeable, lender notice, cure, step-in and recognition arrangements should be addressed expressly rather than left for a future financing.
Protect the next transaction
A strong HMA protects the brand today while preserving a credible route to sale, refinance or enforcement tomorrow.
