IntroductionIntroduction
| 1. | (a) | This Act provides for the principles governing the determination of sectors open for foreign investment in the Maldives; the procedures for granting permission to foreign parties to invest in the Maldives; the protections and guarantees afforded to such investors; the exceptional circumstances in which such investments may be expropriated by the State; the principles for providing compensation in such circumstances; and other related matters.La présente loi établit les principes régissant la détermination des secteurs ouverts à l’investissement étranger aux Maldives ; les procédures d’octroi aux parties étrangères de l’autorisation d’investir aux Maldives ; les protections et garanties accordées à ces investisseurs ; les circonstances exceptionnelles dans lesquelles ces investissements peuvent être expropriés par l’État ; les principes régissant l’octroi d’une indemnisation dans de telles circonstances ; ainsi que les autres questions connexes. | |
| This Act shall be cited as the “Foreign Investment Act.”La présente loi est citée sous le titre « Loi sur l’investissement étranger ». | |||
| 2. | The objectives of this Act are as follows:Les objectifs de la présente loi sont les suivants : | ||
| (a) | To foster an environment conducive to increasing foreign investment in the Maldives, thereby facilitating the inflow of foreign capital, technology, knowledge, and skills, and to establish principles for the development of the Maldivian economy through the following:favoriser un environnement propice à l’accroissement de l’investissement étranger aux Maldives, facilitant ainsi l’afflux de capitaux, de technologies, de connaissances et de compétences étrangers, et établir des principes en vue du développement de l’économie maldivienne par les moyens suivants : | ||

| 3. | (a) | The principles stipulated in Part Two of this Act, from Chapter Two to Chapter Five, shall apply to all matters pertaining to Foreign Direct Investment (FDI) carried out by foreign parties in the Maldives.Les principes énoncés dans la deuxième partie de la présente loi, du chapitre deux au chapitre cinq, s’appliquent à toutes les questions relatives aux investissements directs étrangers (IDE) réalisés par des parties étrangères aux Maldives. | |

| 4. | The Ministry shall be responsible for promoting investment internationally in order to generate and increase interest among foreign investors in investing in the Maldives.Le Ministère (the Ministry) est chargé de promouvoir l’investissement à l’échelle internationale afin de susciter et d’accroître l’intérêt des investisseurs étrangers pour les investissements aux Maldives. | ||

| 5. | In promoting investment, the Ministry shall plan and implement the following:Dans le cadre de la promotion de l’investissement, le Ministère planifie et met en œuvre les activités suivantes : | ||

Prohibition of Investment Outside Defined Sectors and Without PermissionInterdiction d’investir en dehors des secteurs définis et sans autorisation
| 6. | No foreign party shall establish an investment in the Maldives except in a sector designated for foreign investment under this Act and after obtaining permission to invest in such sector in accordance with the provisions of this Act.Aucune partie étrangère ne peut réaliser un investissement aux Maldives, sauf dans un secteur désigné comme étant ouvert à l’investissement étranger en vertu de la présente loi et après avoir obtenu, conformément aux dispositions de celle-ci, l’autorisation d’investir dans ce secteur. | ||

| 10. | Sectors designated by the Minister under Section 11(a)(1) of this Act as sectors closed to foreign investment shall be sectors in which foreign investors are strictly prohibited from investing under any circumstances.Les secteurs désignés par le Ministre, en vertu de l’article 11, paragraphe a), point 1), de la présente loi, comme étant fermés à l’investissement étranger sont ceux dans lesquels il est strictement interdit aux investisseurs étrangers d’investir, quelles que soient les circonstances. | ||

| 11. | (a) | The Minister shall determine and publish in the Government Gazette the sectors in which foreign investors are prohibited from investing in the Maldives or may invest only subject to conditions, categorised as follows:Le Ministre détermine et publie dans la Gazette officielle (Government Gazette) les secteurs dans lesquels il est interdit aux investisseurs étrangers d’investir aux Maldives ou dans lesquels ils ne peuvent investir que sous réserve de conditions, selon les catégories suivantes : | |

| (b) | In determining the sectors under subsection (a), the Minister shall consult with the Cabinet, taking into consideration the following factors:Lorsqu’il détermine les secteurs en vertu du paragraphe a), le Ministre consulte le Conseil des ministres (Cabinet), en tenant compte des facteurs suivants : | ||

| (d) | The sectors designated by the Minister under subsection (a) shall be reviewed at least once every 3 (three) years, taking into account the matters specified in subsection (b). | (g) | From the date the Minister determines and publishes in the Government Gazette the sectors closed to foreign investors under subsection (a)(1), no permission shall be granted to any foreign party to invest in such sectors. However, any foreign investment already operating in such a sector under a permit granted pursuant to this Act or any other law prior to such determination may continue its operations until the expiry of the duration specified in its existing permit.À compter de la date à laquelle le Ministre détermine les secteurs fermés aux investisseurs étrangers en vertu du paragraphe a), point 1), et les publie dans la Gazette officielle, aucune autorisation d’investir dans ces secteurs n’est accordée à une partie étrangère. | (h) | From the date the sectors in which foreign parties may invest only upon fulfilment of specific conditions are determined and published in the Government Gazette under subsection (a)(2), investment permits for those sectors shall only be issued to foreign parties and investments that satisfy the prescribed conditions. | 12. | The licensing process for parties seeking to establish foreign investments in the Maldives shall consist of the following stages:La procédure de délivrance des licences aux parties souhaitant réaliser des investissements étrangers aux Maldives comprend les étapes suivantes : | ||
| (a) | issuance of a Letter of No Objection to eligible parties interested in investing in the Maldives;la délivrance d’une Lettre de non-objection aux parties admissibles souhaitant investir aux Maldives ; | ||
| (b) | fulfilment of mandatory obligations and completion of procedural requirements by the recipients of the Letter of No Objection;l’exécution des obligations impératives et l’accomplissement des exigences procédurales par les destinataires de la Lettre de non-objection ; | ||

Eligible Applicants for InvestmentDemandeurs admissibles à l’investissement
| 13. | The following entities and individuals are eligible to apply for investment authorisation in the Maldives under this Act:Les entités et personnes suivantes peuvent demander une autorisation d’investissement aux Maldives en vertu de la présente loi : | ||
| (a) | foreign nationals;les ressortissants étrangers ; | ||

| (1) | companies wholly owned by foreign nationals;les sociétés entièrement détenues par des ressortissants étrangers ; | ||

| 14. | (a) | If it is proposed to transfer shares of a company or partnership involving Maldivian shareholders to a foreign party, an application for a Foreign Investment Licence must be submitted in accordance with Section 15 of this Act prior to such transfer.S’il est proposé de transférer à une partie étrangère des titres de participation d’une société ou d’une société de personnes comptant des participants maldiviens, une demande de Licence d’investissement étranger doit impérativement être présentée conformément à l’article 15 de la présente loi avant ce transfert. | |

Application for Investment Approval and Criteria for Granting ApprovalDemande d’agrément d’investissement et critères d’octroi de l’agrément
| 15. | (a) | Parties seeking to establish a foreign investment in the Maldives shall submit an application for investment approval to the Ministry in the manner prescribed by regulations made under this Act.Les parties souhaitant réaliser un investissement étranger aux Maldives présentent au Ministère une demande d’agrément d’investissement selon les modalités prescrites par les règlements pris en vertu de la présente loi. | |
| (b) | When submitting an application to the Ministry under subsection (a), all documents and information specified in the regulations made under this Act must be provided.Lors de la présentation d’une demande au Ministère en vertu du paragraphe a), tous les documents et renseignements précisés dans les règlements pris en vertu de la présente loi doivent impérativement être fournis. | ||

| 16. | (a) | If the Ministry determines, after considering the criteria set forth in Section 15 of this Act, that an applicant seeking approval to invest in the Maldives meets the requirements to establish a foreign investment, the Ministry shall issue a letter to the applicant stating that the applicant is qualified to establish such investment. | (b) | The Letter of No Objection issued by the Ministry pursuant to subsection (a) shall specify the requirements to be fulfilled, the procedures to be followed, and the timeframe within which such matters must be completed by the recipient. | (b) | A Foreign Investment Licence issued by the Ministry under Section 18 of this Act shall, in addition to the matters stipulated in subsection (a), specify that the licence is non-transferable and personal to the person to whom it is issued. It must further state that the rights granted to the licensee in relation to the authorised investment are not transferable to a third party, and that the licensee is required to fulfil all obligations and requirements mandated under the relevant laws of the Maldives.Outre les éléments prévus au paragraphe a), la Licence d’investissement étranger délivrée par le Ministère en vertu de l’article 18 de la présente loi précise que la licence est incessible et strictement personnelle à son titulaire. | 21. | (a) | If any party granted a Foreign Investment Licence under Section 18 of this Act wishes to amend the business sector or business activities authorised under that licence, an application for such amendment must be submitted to the Ministry in accordance with the regulations made under this Act.Si une partie à laquelle une Licence d’investissement étranger a été accordée en vertu de l’article 18 de la présente loi souhaite modifier le secteur commercial ou les activités commerciales autorisés par cette licence, une demande de modification doit impérativement être présentée au Ministère conformément aux règlements pris en vertu de la présente loi. | |

Suspension and Revocation of LicenceSuspension et révocation de la licence
| 23. | (a) | The Ministry may suspend or revoke a licence issued under Section 18 of this Act under the following circumstances:Le Ministère peut suspendre ou révoquer une licence délivrée en vertu de l’article 18 de la présente loi dans les circonstances suivantes : | |

| (b) | The Ministry shall revoke a licence issued to a party upon the occurrence of any circumstance specified in subsections (a)(1) or (a)(5).Le Ministère révoque la licence délivrée à une partie dès que survient l’une des circonstances prévues au paragraphe a), point 1) ou 5). | ||

| 24. | (a) | Prior to the suspension or revocation of a licence issued to an investor under Section 23 of this Act, a written notice must be served on the investor. | 25. | (a) | Where an investor’s licence is suspended, the investor is prohibited from conducting, or representing itself as conducting, any activities until the licence is reinstated, except for such specific matters as may be permitted under the regulations made under this Act.Lorsque la licence d’un investisseur est suspendue, il est interdit à celui-ci d’exercer ou de prétendre exercer quelque activité que ce soit jusqu’au rétablissement de la licence, à l’exception des opérations particulières qui peuvent être autorisées par les règlements pris en vertu de la présente loi. | |
